Promoting future-oriented and value-enhancing Evaluations

Board Evaluation is an effective process for identifying the ideal Board structure for your company, sharing the challenges in achieving that ideal and working toward solutions. To do so, it is essential to consider both a long-term, future-oriented perspective (what your company aims to be and what the Board should look like in future) and a value-enhancing perspective (how the Board’s oversight function aligns with value creation and strategic direction).

Promoting understanding among Directors, Statutory Auditors (Kansayaku), and Management

Assistance in formulating Board Evaluation questionnaires

Written surveys and analysis of their results are essential components of Board Evaluation. We also offer advice on appropriate distribution and collection methods to ensure anonymity, as well as on how to conduct accurate analysis of the response results.

Individual interviews and discussions with Directors and Statutory Auditors (Kansayaku)

The most important part of a Board Evaluation is the individual interviews conducted with each Director and Statutory Auditor on the Board. Our consultants, with experience supporting numerous companies, will conduct these interviews and facilitate in-depth discussion.

Discussions at Board meetings

Whether the Board Evaluation is conducted internally (self-evaluation) or with the support of external experts (external evaluation), the ultimate responsibility lies with the Board. Disclosure of Evaluation results

The Corporate Governance Code requires disclosure of the Evaluation results. As the content of such evaluations often includes sensitive information, we support companies in achieving disclosure that balances confidentiality with the need to enable constructive dialogue with investors.
